Terms & Conditions – Lily’s Cafe, LLC

By booking an event, submitting a pre-book form, purchasing products or services, or engaging with Lily’s Cafe, LLC (“Lily’s Cafe,” “we,” “us,” or “our”), you acknowledge and agree to the following Terms & Conditions.

General Services

Lily’s Cafe, LLC provides mobile food truck services, desserts, beverages, and experience-driven event enhancements, including but not limited to custom music, playlists, and entertainment features. Services are provided subject to availability, weather conditions, and Lily’s Cafe’s sole discretion.

1. Service Availability & Booking

  • Service availability is always changing due to receiving multiple inquiries daily.

  • Submitting a pre-book form does not guarantee availability or reservation.

  • All bookings are subject to Lily’s Cafe’s approval and discretion.

  • Availability depends on the event date, time, location, travel distance, staffing, weather, and operational considerations.

  • Lily’s Cafe reserves the right to decline or cancel service if requirements are not met or circumstances change.

 

2. Packages & Minimum Requirements

Lily’s Cafe Desserts and Food Truck offers two primary service options:

  • Desserts Only Package

  • Food and Desserts Package

  • Minimum purchase requirements apply and are based on package,  zip code, travel, event duration and possible vendor fees.

Lily’s Cafe Ice Cream Truck offers one primary service option

  • Prepackaged Ice Creams 

  • Minimum purchase requirements apply and are based on package,  zip code, travel, event duration and possible vendor fees.

The minimum is not a separate fee; it applies toward product purchases.This does not mean unlimited food or desserts. All pricing is based on consumption.

 

3. Product Pricing & Availability

  • Product prices and availability are subject to change without notice due to inflation, supply chain issues, or distributor availability.

  • Booking an event does not lock in product prices.

  • Certain products may be unavailable on the day of service; substitutions may be offered at Lily’s Cafe’s discretion.

 

4. Food & Dessert Orders

  • Food portions must be pre-ordered and prepaid for Food & Desserts packages.

  • Any unused food portions will be wrapped and provided to the booking party.

  • Desserts may be customized by category only when one entity is paying for the event.

Food availability depends on:

  • Location

  • Day of service

  • Distributor availability

  • Quantity

5. Specialty / Large Quantity Product Orders

  • Specialty or large-quantity orders require a minimum of 50 units of a specific item.

  • A credit card is required on file.

  • If an event is canceled, Lily’s Cafe will arrange product drop-off.

  • If a credit card is not on file at least two (2) weeks prior, the order will be canceled.

  • Orders may be affected by distributor allocation or shortages.

  • By placing such orders, you agree to these terms.

6. Custom Songs & Music Services

  • Custom songs are non-editable. No revisions will be made.

  • Lily’s Cafe provides a limited selection of song options for the event coordinator to choose from.

  • No refunds are offered for custom music services.

  • Custom song purchases are for personalization and playback during the event only.

  • Audio files are not guaranteed to be provided to customers.

  • Lily’s Cafe retains full ownership and all intellectual property rights to any song created.

  • Ownership does not transfer, even if an audio file is shared in the future at Lily’s Cafe’s discretion.

  • Any custom song may be used by Lily’s Cafe for social media, marketing, and promotional purposes.

  • Audio files and files from Lily's Cafe can not be used for commercial purposes. 

7. FREE Entertainment (Music, Bubbles, Lights)

  • Free customizable music playlists and bubble machines are weather-dependent and subject to Lily’s Cafe’s discretion.

  • Up to three (3) songs may be requested and must be pre-approved.

  • Inappropriate content will not be played.

  • LED/disco lights may be used during evening events when appropriate and if available.

8. Media & Content Usage

By sharing photos, videos, images, or other media with Lily’s Cafe:

  • You grant Lily’s Cafe royalty-free, perpetual permission to use the content publicly.

  • Content may be used for marketing, advertising, social media, or future promotions.

  • No compensation is owed for such use.

9. Allergens & Food Safety

  • Lily’s Cafe does not recommend purchases for individuals with food allergies or sensitivities.

  • Products may contain or come into contact with allergens.

  • Products are not suitable for pets or animals and should not be shared with animals.

  • The booking party assumes all responsibility for informing guests.

10. Payments & Refunds

  • All sales are final.

  • No refunds for services, products, custom songs, or event bookings.

  • Customers may not request monetary compensation after services are rendered.

  • If one entity is paying, payment is due in full during the event and no later than ten (10) minutes before the scheduled conclusion of service.

11. Conduct & Safety

  • Lily’s Cafe maintains a zero-tolerance policy for disrespectful, abusive (verbal or physical), threatening, or unsafe behavior.

  • Service may be refused or terminated without refund if staff safety is compromised.

  • Vehicles contain security cameras.

 

12. Parking & Event Safety

  • Lily’s Cafe cannot park on driveways or private property.

  • Parking location is at the driver’s discretion for safety.

  • The booking party is responsible for crowd control and safety of everyone (and animals), especially children.

  • Attendees must remain clear until the truck is fully stationed and after departure.

 

13. Property Damage

  • Customers must respect Lily’s Cafe property.

  • No unauthorized signage, decorations, or modifications allowed.

  • Any damages caused during the event are the responsibility of the booking party and must be paid in full within seven (7) business days.

  • No climbing on the vehicles. 

 

14. Venues, Permits & Fees

  • Venue or park permissions may be required.

  • Vendor fees or permits charged by venues are the responsibility of the booking party.

  • Lily’s Cafe will notify you if such fees apply.

15. Insurance

  • Certificates of insurance may be provided to authorized entities only upon request and approval.

  • Additional insurance documentation is not guaranteed.

16. Changes & Updates

  • Lily’s Cafe reserves the right to update these Terms & Conditions at any time.

  • Continued booking or service constitutes acceptance of updated terms.

Additional Legal Protections & Disclosures

18. Assumption of Risk & Release of Liability

By booking services with Lily’s Cafe, LLC, the booking party and all attendees acknowledge and voluntarily assume all risks associated with mobile food truck services, food consumption, music, entertainment features, vehicle presence, and event-related activities.

To the fullest extent permitted by law:

  • Lily’s Cafe, LLC shall not be held liable for injury, illness, allergic reactions, accidents, property damage, weather-related incidents, or unforeseen circumstances.

  • The booking party agrees to release, indemnify, and hold harmless Lily’s Cafe, LLC, its owners, employees, drivers, contractors, affiliates, and representatives from any claims arising from the event.

Nothing in this clause waives liability for gross negligence or willful misconduct, where prohibited by law.

19. Food Safety & Illness Disclaimer

  • All food and beverage products are prepared and served in compliance with applicable health regulations.

  • Lily’s Cafe does not guarantee allergen-free products.

  • Consumption of food and beverages is at the customer’s own risk.

  • The booking party assumes responsibility for advising attendees of food risks.

Lily’s Cafe is not responsible for illness, reactions, sensitivities, or dietary outcomes resulting from consumption.

20. Weather, Safety & Event Conditions

  • The booking party is solely responsible for ensuring a safe environment for attendees and Lily’s Cafe staff.

  • This includes protection from extreme weather, traffic hazards, unsafe terrain, crowd behavior, and environmental risks.

  • Lily’s Cafe reserves the right to modify, delay, or cancel service if conditions are deemed unsafe.

21. Force Majeure (Acts Beyond Our Control)

Lily’s Cafe shall not be held responsible for delays, cancellations, or service changes caused by circumstances beyond reasonable control, including but not limited to:

  • Acts of God

  • Severe weather

  • Accidents

  • Vehicle issues

  • Illness or emergency

  • Government orders

  • Supply chain disruptions

  • Power outages

  • Road closures

  • Labor shortages

No refunds or compensation will be owed under these circumstances.

22. Schedule Changes & Operational Adjustments

  • Event timing, duration, arrival time, or service flow may change due to operational needs.

  • Lily’s Cafe cannot guarantee exact arrival times.

  • The booking party agrees that minor scheduling changes do not constitute breach of service.

23. Third-Party Services & Data Sharing

Certain information may be shared with trusted third parties for legitimate business purposes, including but not limited to:

  • Payment processing

  • Product distributors

  • Music or entertainment tools

  • Marketing platforms

  • Website and booking systems

All sharing is limited to what is reasonably necessary to provide services.

24. Personal Information for Custom Songs

For custom song personalization, Lily’s Cafe may collect limited personal information, including:

  • First name

  • Age

  • Event type

  • Hobbies or interests (optional)

This information is used solely to enhance the personalized experience and is handled in accordance with applicable privacy standards.

25. No Transfer of Responsibility to Affiliates

No contractors, vendors, affiliates, musicians, platforms, or third-party services used by Lily’s Cafe shall be held liable for claims related to the event.

All responsibility remains with the booking party and Lily’s Cafe, LLC as outlined herein.

26. No Jury Trial / Dispute Resolution

To the fullest extent permitted by law:

  • Any disputes shall be resolved through binding arbitration or bench trial.

  • The booking party waives the right to a jury trial.

This clause does not apply where prohibited by law.

27. Business Transfer / Sale

In the event Lily’s Cafe, LLC is sold, merged, transferred, or reorganized:

  • Customer information collected during normal business operations may be transferred to the acquiring party.

  • Such transfer will be for legitimate business continuation purposes only.

 

28. No Guarantees of Outcomes

Lily’s Cafe does not guarantee:

  • Guest satisfaction

  • Emotional reactions

  • Event outcomes

  • Crowd size or purchasing behavior

  • Specific product availability

Services are provided on a best-effort basis.

29. Severability

If any provision of these Terms & Conditions is found unenforceable, the remaining provisions shall remain in full force and effect.

30. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

Agreement to Terms, Payment Responsibility & Cancellations

By requesting Lily’s Cafe, LLC services through any method, including but not limited to:

  • Phone calls

  • Emails

  • Text messages

  • Online pre-book forms

  • Website submissions

the requesting individual (“Booking Party”) acknowledges and agrees to these Terms & Conditions in full.

The Booking Party confirms that:

  • They are authorized to make the request on behalf of the event.

  • They accept full financial responsibility for all applicable minimums, purchases, and services rendered.

  • Agreement is binding even if no formal contract is signed

 

Payment Responsibility

  • The Booking Party is responsible for ensuring payment obligations are met.

  • Failure of attendees to purchase sufficient products does not relieve the Booking Party of minimum requirements.

  • Payment responsibility applies regardless of whether guests pay individually or one entity pays for the event.

 

Cancellations & Changes

  • Cancellations or changes must be communicated as soon as possible.

  • Last-minute cancellations may impact Lily’s Cafe’s ability to rebook and plan inventory.

  • Lily’s Cafe reserves the right to deny future bookings for repeated cancellations or no-shows.

  • Lily’s Cafe shall not be held liable for costs, losses, or damages incurred by the Booking Party due to cancellation or rescheduling.

  • Lily’s Cafe reserves the right to modify or cancel service if illness, exposure, or public health concerns arise that may compromise staff or public safety.

Implied Acceptance

Proceeding with booking communications, scheduling, or event coordination constitutes implied acceptance of these Terms & Conditions.

Event Approval, Modification & Revocation

Any event approval, confirmation, scheduling notice, or availability acknowledgment issued by Lily’s Cafe, LLC—whether communicated via phone, email, text message, website form, or other written or verbal communication—does not constitute a binding contract and may be modified or revoked at any time at Lily’s Cafe’s sole discretion.

Event approvals may be changed or revoked due to, but not limited to:

  • Scheduling conflicts

  • Operational needs

  • Weather conditions

  • Safety concerns

  • Staffing limitations

  • Equipment issues

  • Acts of God or unforeseen circumstances

The Booking Party acknowledges and agrees that:

  • Event approval is conditional and subject to change.

  • Lily’s Cafe is not liable for damages, losses, or expenses resulting from approval revocation or modification.

  • Continued communication, coordination, or preparation following approval constitutes acceptance of these Terms & Conditions.

Receipt of an event approval, confirmation message, or scheduling notice—combined with continued participation in the booking process—shall be considered affirmative agreement to all Terms & Conditions set forth by Lily’s Cafe, LLC.

Marketing, Branding & Use of Intellectual Property

All marketing, advertising, promotional materials, or public communications related to Lily’s Cafe, LLC must be submitted to and approved in writing by Lily’s Cafe prior to distribution or publication.

The Booking Party may not, without prior written authorization from Lily’s Cafe, LLC:

  • Create, alter, or distribute menus using Lily’s Cafe pricing, products, descriptions, or package structures

  • Use Lily’s Cafe name, logo, branding, images, likeness, or intellectual property

  • Publish or promote event information that misrepresents Lily’s Cafe services, pricing, or offerings

  • Reproduce, modify, or distribute Lily’s Cafe materials for marketing or promotional purposes

Unauthorized use or misrepresentation may result in, at Lily’s Cafe’s sole discretion:

  • Immediate cancellation of the event

  • Withdrawal of services without refund

  • Denial of future bookings

In addition, the Booking Party shall be fully responsible for any damages incurred by Lily’s Cafe, including but not limited to:

  • Costs associated with products, food, desserts, or materials prepared in advance

  • Operational losses resulting from cancellation or disruption

  • Harm to Lily’s Cafe’s reputation, branding, or goodwill

  • Administrative, marketing, or corrective costs required to address unauthorized use

Lily’s Cafe, LLC shall not be held liable for damages, losses, or claims arising from enforcement of this clause.

All trademarks, logos, menus, pricing, content, and branding elements remain the exclusive intellectual property of Lily’s Cafe, LLC.

Limitation of Liability
To the fullest extent permitted by law, Lily’s Cafe, LLC’s total liability for any claim, loss, or damage arising out of or related to services provided shall not exceed the total amount paid to Lily’s Cafe for the specific event giving rise to the claim.

In no event shall Lily’s Cafe, LLC be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of business, or reputational harm.

Independent Contractor Status
Lily’s Cafe, LLC operates as an independent service provider. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between Lily’s Cafe and the Booking Party.

Likeness & Event Recording
The Booking Party acknowledges that photos or videos taken at events may include attendees. The Booking Party is responsible for obtaining any necessary consent from attendees. Lily’s Cafe shall not be responsible for claims related to likeness, image, or appearance of event guests.

Electronic Communications & Records
The Booking Party agrees that electronic communications, including emails, text messages, website submissions, and digital records, constitute valid and binding communications and may be used as evidence of agreement, approval, or authorization.

No Waiver
Failure by Lily’s Cafe to enforce any provision of these Terms shall not constitute a waiver of the right to enforce such provision in the future.

Errors & Omissions
Lily’s Cafe is not responsible for typographical errors, pricing inaccuracies, or omissions on the website, marketing materials, or communications and reserves the right to correct such errors at any time.

No Assignment
The Booking Party may not assign, transfer, or resell any booking or services without prior written consent from Lily’s Cafe.

Entire Agreement
These Terms & Conditions constitute the entire agreement between Lily’s Cafe and the Booking Party and supersede all prior discussions or representations.

Attorney’s Fees
In any dispute arising from these Terms, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs, to the extent permitted by law.
